1. Acceptance of Terms

By accessing or using askaGOAT ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. askaGOAT provides AI-powered analysis of government RFP documents to assist with Go/No-Go decision-making.

2. Service Description

askaGOAT is a software-as-a-service platform that uses artificial intelligence to analyze government RFP documents and generate "Hoofnotes" - brief summaries that highlight key deadlines, mandatory checkpoints, proposal workload, scope summaries, and opportunity details. The Service is designed to help government contractors quickly triage and evaluate RFP opportunities.

3. User Responsibilities

You agree to:

• Provide accurate account information and maintain the security of your account credentials
• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
• Review and verify all AI-generated analysis before making business decisions
• Not rely solely on askaGOAT's analysis as the exclusive basis for critical business decisions
• Not attempt to reverse engineer, decompile, or extract the underlying algorithms or technology
• Not use the Service to process prohibited content (see Section 4)
• Not share your account credentials with unauthorized parties

4. Prohibited Uses and Content

askaGOAT is strictly for public government solicitations only. You must NOT upload:

• Controlled Unclassified Information (CUI)
• ITAR-controlled documents
• Classified information of any level
• Documents marked with security classifications or handling restrictions
• Proprietary third-party information without authorization

Uploading prohibited content will result in immediate account termination, deletion of the content, and may result in legal action. You are solely responsible for ensuring all uploaded documents are appropriate for processing through our Service.

5. Subscription Plans and Payment

5.1 Subscription Plans

We offer subscription plans (Scout and Pro) with different usage limits and features. Plan details, pricing, and features are subject to change with notice.

5.2 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required to start a trial. After the trial period ends, if you do not subscribe to a paid plan, your account will be placed in a "Free" status. Free status accounts retain your data but do not provide access to analysis services. To continue using the Service, you must subscribe to a paid plan.

5.3 Billing and Payment

• Subscriptions are billed monthly in advance
• Payment is processed through secure third-party payment processors
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period. No refunds are provided for partial billing periods.

6. Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, and content, is owned by askaGOAT and protected by intellectual property laws. You retain ownership of the documents you upload. By uploading documents, you grant us a limited license to process them solely for the purpose of providing the Service.

Hoofnotes and analysis results generated by the Service are provided for your use, but the underlying technology and methods remain our proprietary property.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• askaGOAT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED ANALYSIS
• WE ARE NOT LIABLE FOR ANY DECISIONS MADE BASED ON OUR ANALYSIS
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

You acknowledge that AI analysis may contain errors and that you are solely responsible for verifying all information and making independent business decisions.

8. Indemnification

You agree to indemnify, defend, and hold harmless askaGOAT, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may:

• Perform scheduled maintenance with reasonable notice
• Modify, suspend, or discontinue features or the entire Service
• Update our technology and algorithms, which may affect analysis results

10. Account Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms of Service
• Upload prohibited content (CUI, classified, ITAR-controlled)
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay subscription fees

Upon termination, your access to the Service will cease, and we may delete your account data in accordance with our Privacy Policy.

11. Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which askaGOAT operates. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
